Single Site Licence (EULA)

Effective date: March 2026

This Single Site Licence Agreement (“Licence”) is a legal agreement between the purchaser (“Licensee”, “you”) and the publisher of Flow-Logic (“Licensor”, “we”, “us”). By purchasing, accessing, or using Flow-Logic (the “Software”), you agree to this Licence.

1. Licence Type and Price

The Single Site Licence is a one-time fee per site. The current price is shown on the Purchase page.

2. Definitions

  • Site: One physical campus/location (e.g., one school or college campus).
  • Authorised Users: Employees, contractors, and learners who are primarily based at the licensed Site.
  • Project Files: Files created by the Software (e.g., “.flow”).

3. Grant of Licence

Subject to payment and compliance with this Licence, we grant you a non-exclusive, non-transferable, revocable licence to use the Software at the licensed Site by Authorised Users for teaching, learning, training, and internal educational purposes.

4. Permitted Use

  • Use the Software in classrooms, staff training, clubs, interventions, and homework activities tied to the licensed Site.
  • Display the Software on screens/projectors for instructional purposes.
  • Create, save, store, and share Project Files internally (including via Google Drive or similar) for Authorised Users.
  • Install/use the Software on multiple devices used by Authorised Users, provided usage remains within the licensed Site scope.

5. Restrictions

  • You may not resell, sublicense, or transfer the Software or this Licence to another organisation or Site.
  • You may not provide the Software as a service to third parties (e.g., external training sold to other sites) without written permission.
  • You may not reverse engineer, decompile, or attempt to extract source code except where permitted by law.
  • You may not remove or obscure copyright, trademark, or licensing notices.

6. Multi-Site Organisations (MAT/Trusts)

If you operate multiple physical Sites (e.g., a MAT with several schools), you must purchase a separate Single Site Licence for each Site where the Software is used.

7. Updates and Support

The licence includes minor updates and bug fixes. Major version upgrades and additional services may be offered separately.

8. Data and Privacy

You are responsible for the Project Files you create and where you store them. If the Software connects to third-party services (e.g., Google Drive), you are responsible for ensuring your use complies with your organisation’s policies and the third party’s terms.

9. Intellectual Property

The Software and all associated intellectual property rights are owned by the Licensor. This Licence grants usage rights only; it does not transfer ownership.

10. Term and Termination

This Licence starts on first use and continues unless terminated. We may terminate this Licence if you materially breach it and fail to remedy the breach within a reasonable time. On termination, you must stop using the Software. Project Files you created remain yours.

11. Disclaimers

The Software is provided “as is” to the fullest extent permitted by law. We do not guarantee that it will be error-free or uninterrupted. Nothing in this Licence excludes liability that cannot be excluded under applicable law.

12. Governing Law

This Licence is governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, except where consumer protection laws require otherwise.
